The company enables StartUps continuous fundraising through an Invest-Now-Button as well as a secure and simple process.

Raising capital rethought: Tokenize enables a direct, transparent, and efficient connection between innovative projects and potential investors. Through specially developed profit-sharing rights, investors can invest in startups without a notary appointment and within a few minutes – and are thereby economically completely equal to the shareholders. In the background, the profit-sharing rights are secured via blockchain technology.

This makes the investment process not only secure and faster, but the profit-sharing rights can also be made easily tradable.

A new era of financing begins – with just one click on the Invest-Now-Button.

Immediately after the free onboarding, startups receive the Invest-Now-Button, which they can place on their website.

This can then be used in two different ways through an upgrade to fundraising

• Private Fundraise
  Up to 149 investors can raise any amount of capital in a round. There is no prospectus requirement. Investors reserve their place via the Invest-Now-Button and receive a Private Offer from the founder via email as a link.
  
  The founder can decide who to send a Private Offer to. The investment terms (valuation, etc.) must not be publicly advertised, but the fact that investment is possible can be.
• Public Fundraise
  There is no limitation on the number of investors. Up to 8 million € can be raised within 12 months. Investors can invest directly through a subpage that can be customized by the startup.
  
  Even with small investment amounts (200 €), a large number of small investors can participate. The offer can be publicly advertised. Additional function: employee participation. Employees are involved in the company through profit-sharing rights.

Tax advantages for employees compared to ESOP/VSOP cliffs and vesting can be individually mapped.

How Tokenize.it works

• Profit-sharing rights as tokens: Investors invest in profit-sharing rights that are secured on the blockchain. These certify economic rights, such as dividend payments or liquidation proceeds, without transferring voting rights to the company at the same time.
• Invest-Now-Button: After onboarding, the startup receives an HTML code snippet through which the Invest-Now-Button can be easily integrated into the website.
• The platform: All investments and inquiries can be viewed and managed by the founders via the platform.
• Even if Tokenize.it were to cease to exist: all functions remain available via the blockchain, and Tokenize.it itself holds no assets or contracts.
• Security and transparency: The profit-sharing rights were developed together with CMS specifically for the German and Austrian markets, and all smart contracts have been audited for security.

The investment process for investors depends on how the startup uses the Invest-Now-Button.

In the Private Fundraise, the investor signals interest by providing their contact information and desired investment amount via the button. The founder can then create a Private Offer via the platform - tailored to the individual investor - and send it as a link. KYC is not necessarily required here, as long as the investor is known to the founder.

In the Public Fundraise, the investor accesses a subpage of the company via the Invest-Now-Button, where all legal documents can be viewed and the investment can be concluded directly.

Track Record

After two years of product development and an initial focus on companies from the blockchain sector, Tokenize.it has been making a name for itself in the startup scene since the end of last year.

Tokenize.it is also using its platform for its own fundraising, with investors such as HTGF, Carsten Maschmeyer's seed+speed, and the 2022 Business Angel of the Year, Thomas Schmidt, holding the company's equity rights in their portfolio. To date, nearly 250 investments have been completed via the platform, with an average sum of €30,000.
